These Terms of Service (“Terms”) govern your access to and use of SkankRadio.com (the “Site”), operated by SkankRadio.com (“we”, “us”, “our”). By creating an account, uploading content, making a purchase, or otherwise using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

2. Accounts

To access membership features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Keep your password confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activity under your account

We may suspend or terminate accounts that contain false information or are used in violation of these Terms.

3. Memberships

The Site offers free (Guest, Artist) and paid (Pro Artist Monthly, Pro Artist Annual) membership levels. Paid memberships are billed on a recurring basis through Stripe until cancelled. Cancellation, billing, and refund terms are governed by our Refund Policy.

4. User-Uploaded Content

Pro Artist members may upload music files, artwork, and related metadata (“Uploaded Content”).

4.1 Ownership

You retain all ownership rights in your Uploaded Content. We do not claim ownership of any music, artwork, or other material you upload.

4.2 License to us

By uploading content to the Site, you grant SkankRadio.com a non-exclusive, worldwide, royalty-free license to host, store, reproduce, stream, display, distribute, sell, and promote your Uploaded Content on and through the Site for the purpose of operating the Site and its features (including streaming, voting, sales, and promotion). This license ends when you remove the content or terminate your account, except for copies already distributed to purchasers and copies retained for legal, backup, or compliance purposes.

4.3 Your representations

By uploading content, you represent and warrant that:

• You own the content, or you have all rights, licenses, and permissions necessary to upload it and grant us the license above
• The content does not infringe any third party’s copyright, trademark, publicity, privacy, or other rights
• The content does not contain unlawful, defamatory, harassing, or otherwise prohibited material

You are solely responsible for the content you upload and for any consequences of uploading it.

5. Prohibited Conduct

You agree not to:

• Upload content you do not own or have permission to use, including copyrighted material belonging to others
• Use the Site for any illegal purpose or in violation of any applicable law
• Harass, threaten, abuse, or impersonate any other user or third party
• Manipulate voting, ratings, plays, sales, or any other Site metric through fake accounts, bots, scripts, or coordinated activity
• Attempt to gain unauthorized access to any part of the Site, other accounts, or our systems
• Interfere with or disrupt the Site, including by introducing malware, viruses, or other harmful code
• Scrape, harvest, or extract data from the Site without our prior written consent
• Resell, sublicense, or redistribute Site features or content except as expressly permitted
• Engage in any fraudulent activity, including chargeback abuse or false dispute claims
• Violate the rights of others, including intellectual property, privacy, and publicity rights

We reserve the right to remove content and suspend or terminate accounts that violate these rules.

6. Voting and Site Metrics

Voting and other engagement features are provided for entertainment and discovery purposes. We make no guarantees about the accuracy, fairness, or outcome of any vote, ranking, or chart. We may adjust, recalculate, or invalidate votes and metrics at our discretion, including to address suspected manipulation.

7. Sales and Artist Payouts

The Site may offer the ability for users to purchase music uploaded by artists. The following terms apply to those sales:

7.1 Revenue split

For each completed sale of an artist’s music through the Site, the revenue is split 85% to the uploading artist and 15% to SkankRadio.com, calculated on the net amount received after payment processing fees and applicable taxes.

7.2 Payouts

The payout system is not yet active on the Site. Once implemented, eligible artists will be able to receive payouts according to a separate payout schedule and process that we will publish at that time. Until the payout system is active, no sales feature is offered, and no payout obligation arises.

7.3 Eligibility

Only members at a tier permitted to upload music (currently Pro Artist Monthly and Pro Artist Annual) are eligible to receive sales revenue. Eligibility may change as the Site evolves.

7.4 Taxes

You are solely responsible for any taxes owed on payouts you receive. We may be required to collect tax information from you and report payouts to tax authorities.

8. Copyright and DMCA

We respect intellectual property rights and expect users to do the same. If you believe content on the Site infringes your copyright, send a written notice to contact@skankradio.com that includes:

• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing, with enough detail for us to locate it
• Your contact information (name, address, phone, email)
• A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or are authorized to act on behalf of the owner
• Your physical or electronic signature

We will respond to valid notices in accordance with applicable law and may remove infringing content and terminate repeat infringers.

9. Termination

We may suspend or terminate your account, with or without notice, if you violate these Terms, engage in fraud or abuse, create risk or possible legal exposure for us, or for any other reason at our discretion. You may close your account at any time by contacting us. Upon termination, your right to use the Site ends immediately. Sections of these Terms that by their nature should survive termination (including ownership, licenses granted to us, disclaimers, limitations of liability, and dispute terms) will survive.

10. Disclaimers

The Site is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, error-free, or secure. You use the Site at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, SkankRadio.com and its operators, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Site. Our total liability for any claim arising out of or relating to these Terms or the Site will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless SkankRadio.com and its operators from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Site, your Uploaded Content, your violation of these Terms, or your violation of any rights of any third party.

13. Changes to the Site and Terms

We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time. When we do, we will update the “Last updated” date at the top. Material changes will be communicated through the Site or by email where appropriate. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which SkankRadio.com is operated, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved in the courts of that jurisdiction, and you consent to the personal jurisdiction of those courts.

15. Miscellaneous

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SkankRadio.com regarding the Site. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
